This privacy policy (the "Policy") explains how Viperium Ltd, a Saint Lucia International Business Company with company number 2025-0065, with its registered office at the offices of Fortgate Offshore Investment and Legal Services Ltd., Ground Floor, The Sotheby Building, Rodney Village, Rodney Bay, Gros-Islet, Saint Lucia (collectively "Viperium", "we", or "us" and each member of the Viperium group for whose services you registered, the "Viperium Entity") collects, uses, and discloses personal information through its websites, mobile applications, and other online products and services that link to this Policy, including the Viperium proprietary trading platform, and any of the products and services detailed in the following paragraph or made available by Viperium (collectively, the "Services") or when you otherwise interact with us.

We encourage you to read the Policy carefully as it forms part of the relevant Viperium Entity's terms and conditions, terms of business, agreement with you, and/or terms of use, as the case may be. By using services, by registering with the Viperium Platform, or by clicking a box marked “accept” or “agree", you understand and agree to the practices described in this Policy, and that we will process your data based on this Policy. If you accept or agree to this Policy on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to the Privacy Policy and, in such event, "you" and "your" will refer and apply to that company or other legal entity.

At Viperium, we are committed to safeguarding your privacy and ensuring a safe and secure trading experience. This Privacy Policy outlines how we collect, use, store, and share your personal information when you use our platform.

1. Information We Collect

We only collect the most relevant, proportionate for each purpose and strictly necessary personal information from you in the course of our business when you use the Services, including when you use the Viperium Platform. We collect and process different types of personal data from you or via your representative or via any channels of communication we have, in the context of our business relationship.

We may also collect and process personal data which we lawfully obtain not only from you but from other entities within the Viperium Group, or other third parties such as, public authorities. We may also collect and process personal data from publicly available sources (e.g. the national company registers, commercial registers, the press, media and the Internet) which we lawfully obtain and we are permitted to process.

We may collect the following types of information:

  • Identity Information: This may include your name, email address, phone number, username, date and place of birth, if you hold or held a prominent public function (PEP) or are connected to a PEP, employment status, FATCA info, authentication data, and other identifiable information provided during registration or while using the services.
  • Contact Information: This may include your email address, delivery address, billing address, telephone number.
  • Financial and Transaction Information: For trading purposes with the Viperium Platform, we may collect information such as your payment details (credit card, bank account), account balance, transaction history, services you have purchased from us, payment for acquiring the VPR token, or subscribing to our Viperium Platform, and any other financial data necessary to operate your account.
  • Usage Data: This includes information about how you interact with the services, including your IP address, browser type, device information, and activity on the site (pages visited, links clicked).
  • Device Information: Information about the devices used to access our platform, such as device type, operating system, and location data.
  • Cookies and Tracking Technologies: We use cookies, web beacons, and similar technologies to collect information about your usage of the platform to improve functionality, provide personalized experiences, and analyse traffic. Further information may be obtained to determine your eligibility in the VPR Initial Exchange Offering, residence, tax residence and tax ID, Worldcheck data, economic and financial background and credit reference agency data, financial information (source of income, source of wealth).

Please note that we or the trading platform for the VPR Initial Exchange Offering may engage third party providers for the performance of due diligence, anti-money laundering checks and Know Your Customer processes, as may be required by law (KYC Checks). You acknowledge, agree, and accept to be bound by their privacy policies and procedures in terms of personal data processing.

If you fail to provide information

Where we need to collect personal data by law, or under the terms of a contract we have with you, and you fail to provide that data when requested, we may not be able to perform the contract we have or are trying to enter into with you (for example, to provide you with goods or services). In this case, we may have to cancel a product or service you have with us, but we will notify you if this is the case at the time.

2. How We Use Your Information

We will use your personal data when the law allows us to. Most commonly, we will use your personal data in the following circumstances:

  •    When we have your consent,
  •    Where we need to perform the contract we are about to enter into or have entered into with you.
  •    Where it is necessary for our legitimate interests (or those of a third party) and your interests and fundamental rights do not override those interests.

The firm shall not carry out any automated decision-making activities, including profiling, using your personal information which produce legal effects concerning you or similarly significantly affect you.

  • Performance of contract: To perform the contract we have with you for various Services, including your registration with our platforms, participation in token offerings, or any other service or product we make available, track and process your orders, collect any money owed to us , return money owed to you.
  • Trading and Funding: To provide instant proprietary capital funding, manage your trading credits, and track your trading progress as you reach milestones and goals.
  • Customer Support: To respond to your inquiries, resolve issues, and provide assistance related to your account or platform usage.
  • Marketing and Promotions: With your consent, we may send promotional offers, updates about new features, and other marketing materials. You may opt-out of these communications at any time.
  • Compliance and Legal Obligations: To comply with relevant laws, regulations, and financial standards, including Anti-Money Laundering (AML) and Know Your Customer (KYC) requirements.
  • Legitimate Interests: We process personal data to safeguard the legitimate interests pursued by us or by a third party. A legitimate interest is when we have a business or commercial reason to use your information. But even then, it must not unfairly go against what is right and best for you. Examples of such processing activities/purposes include: o Taking all steps necessary for the termination of accounts, collecting or recovering debts, o Initiating legal claims and preparing our defence in litigation procedures, o Administering and protecting our business and this website (including troubleshooting, data analysis, testing, system maintenance, support, reporting and hosting of data), o Enabling you to complete a survey or asking you to leave a review, o Improving our Services, o Utilising agents and/or other agencies for conducting further investigation for customers posing increasing money laundering/terrorist financing risk and where enhanced due diligence measures are deemed necessary, o Performing enhanced due diligence of existing customers where there is a suspicion that the client’s country of origin or residence is a country subject to sanctions.
3. How We Protect Your Information

We implement a range of security measures to protect your personal data, including data encryption, secure servers, firewalls, and access control. All of our partners, employees, consultants, workers and data processors (i.e., those who process your personal information on our behalf), who have access to, and are associated with the processing of personal information, are obliged to respect the confidentiality of such personal information, keep it secure and protect it.

We have put in place procedures to deal with any suspected personal data breach and will notify you and any applicable regulator when we are legally required to do so. Your information may be stored and processed in countries outside of your country of residence, which may have different data protection laws. Also, in order to provide our services, we may need to transfer your personal information to locations outside our country of incorporation. Again, this may entail a transfer to jurisdictions which may have different data protection laws.  For any international transfer of data, we will implement appropriate measures to ensure that your personal information remains protected and secure in accordance with applicable data protection laws.
